Due Diligence
The MGI team of industry veterans provide the analysis and guidance to identify and evaluate acquisitions, alliance opportunities, identification of buyers and due diligence. MGI executives have worked with leading venture capital and investment houses in providing the highest quality due diligence. They provide guidance to advise management in regulatory issues within the United States.

The Internet marketplace today offers the most fertile ground ever seen for business acquisitions and mergers. It has shifted from a cottage industry to one that will generate billions of dollars (US). It is critical to understand the right moves for both buyers and sellers. For example, a telephone company looking to buy an ISP might find a large one an attractive acquisition at first look. But after considering the telephone company’s true requirements, the ISP fails to meet the bill. Given the recent bold moves by Worldcom in acquiring components owned by both America OnLine, CompuServe, MCI, and now Sprint, the industry requires keenly knowledgeable guides.

Similarly, a large number of software vendors have produced unique niche products. It is inevitable that synergies will develop, making an alliance, merger or acquisition attractive. At the same time, new ventures are always emerging. What is the correct way to develop marketing strategies? What constitutes a viable exit strategy? These issues are on the minds of both management and investors.

To assist management and investors, MGI offers three services:

Alliance Identification - We can assist you in identifying strategic alliances that provide synergy with your exisiting lines of business. One way to enter the market is to become part of a software suite, bundled software with hardware or an offering of an Internet Service Provider. Outside the United States, we can assist you in identifying distributors.

Mergers and Acquisitions - We can assist your company to take the next step beyond alliance identification – determining if the two companies should merge. Or, if you are looking for an exit strategy, we can help you identify buyers. This is becoming particularly attractive in the ISP arena, where telephone companies, cable service providers and larger ISPs are acquiring smaller ones.

Due Diligence – This service is directed to venture capital firms, investment banks and companies that are considering acquisitions outside their area of expertise. We can provide technical and marketing due diligence for all companies in the hardware, software, communications as well as information and service providers in the computer industry. This expertise considers both Internet and non-Internet based companies. With our in-depth experience in future computing environments, we review the company not only in terms of its position today, but in the future.

Maloff Group International has the contacts, the experience, and the skills to assist in these areas. Some of the clients that MGI personnel have assisted in this area include Digex, Sprint, Frontier Communications, US West, Water Street Capital, Peregrine Ventures, and other well-known investors and venture capital firms. MGI has been there. We can help guide your organization as well.
